AixTech OÜ provides professional engineering and technical services including but not limited to:

• Specialized technical services

Our services are provided primarily to clients in CIS countries (excluding the Russian Federation).

3. Service Agreement Process

3.1 Quotations

All quotations provided by AixTech OÜ are:

• Valid for 30 days from the date of issue unless otherwise specified
• Subject to final terms negotiation
• Based on information provided by the client
• Excluding taxes unless explicitly stated

3.2 Contract Formation

A binding contract is formed when:

• Both parties sign a written agreement, or
• Client accepts our quotation in writing, or
• Work commences with mutual agreement

4. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project information
• Timely response to requests for information or approvals
• Making agreed payments according to contract terms
• Ensuring necessary permissions and licenses are obtained
• Compliance with local laws and regulations
• Providing safe working conditions when applicable

5. Payment Terms

5.1 General Terms

• Payment terms are specified in each individual contract
• Standard payment terms are Net 30 days from invoice date
• All prices are quoted in EUR unless otherwise specified
• Late payment fees may apply as per Estonian law

5.2 Project Payments

For larger projects, payment may be structured as:

• Initial deposit upon contract signing (typically 25-50%)
• Progress payments based on milestones
• Final payment upon project completion and acceptance

6. Intellectual Property

6.1 Client IP

All intellectual property provided by the client remains the property of the client.

6.2 Deliverables

Unless otherwise agreed in writing:

• Client receives ownership of final deliverables upon full payment
• AixTech OÜ retains rights to general methodologies and know-how
• Third-party intellectual property remains with respective owners

6.3 Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the project.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the total contract value
• We are not liable for indirect, consequential, or special damages
• We are not liable for delays caused by client or third parties
• Force majeure events excuse performance delays

8. Quality and Warranties

8.1 Professional Standards

We warrant that our services will be performed:

• With professional skill and care
• In accordance with industry standards
• By qualified and experienced personnel

8.2 Warranty Period

We provide a 12-month warranty on our deliverables against defects in our work, excluding:

• Changes in regulations or standards
• Client modifications to deliverables
• Normal wear and tear
• Third-party equipment or software issues

9. Termination

9.1 Termination for Convenience

Either party may terminate the agreement with 30 days written notice.

9.2 Termination for Cause

Either party may terminate immediately for:

• Material breach of contract
• Insolvency or bankruptcy
• Failure to pay undisputed invoices

9.3 Effect of Termination

Upon termination:

• Client pays for work completed to date
• Both parties return confidential information
• Survival clauses remain in effect

10. Force Majeure

Neither party is liable for delays or failures due to events beyond reasonable control, including:

• Natural disasters
• Government actions or regulations
• War, terrorism, or civil unrest
• Epidemic or pandemic
• Internet or communication failures

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by Estonian law.

11.2 Dispute Process

Disputes shall be resolved in the following order:

1. Direct negotiation between parties
2. Mediation through mutually agreed mediator
3. Arbitration or court proceedings in Estonia
